E2 World Builder Agreement
An agreement between E2 / The Studio and the Builder
Document E2-WB-001 · Version 1.2
Version 1.2 · Prepared October 24, 2026, updated October 25, 2026 · Docket E2-WB-001
The short version, in plain English
Harsh builds games and virtual worlds for E2. E2 pays him for that work, sometimes per project agreed in advance, and just as often the small, informal way the two of them actually work: a quick ask in a chat, a small job done in minutes, a tip sent afterward. All of that counts. If Dave asks for it in any form, if Harsh makes it for E2 or with E2 characters or worlds, if he hands it to E2 for E2 to use, or if E2 accepts it, uses it, or pays or tips him for it, then it is work under this agreement, with no formal brief, contract, or set price needed first. Everything he builds for E2 belongs to E2: the worlds, the levels, the characters, the stories, the art, the look and feel, the code, the names, all of it. E2 can use anything made under this agreement in any way and in any medium, now or in the future: video games, films, television and streaming, musicals and stage shows, videos, audio, books, comics, merchandise, and formats not invented yet. That ownership is permanent and survives E2 growing, being sold, or changing shape. If for any legal reason a piece of the work cannot be assigned outright, E2 still holds a full, exclusive, permanent license to it on the same terms, so there is no gap. Work Harsh made entirely on his own, before and outside E2 projects, stays his. If it ends up inside an E2 deliverable, E2 can keep using it as part of that deliverable. Harsh can show the finished, public games in his own portfolio with a link back to E2. Neither side can be surprised later: the pay stated for a project is the full pay for that project, and the ownership in this agreement is the whole deal.
The legal text below is the agreement. The plain English above is a summary only.
Agreement
This World Builder Agreement ("Agreement") is between E2 / The Studio (DlaneyCreative), represented by David Craige ("E2"), and Harsh [full legal name to be completed at signing] ("Builder"). It takes effect on the date the Builder signs it ("Effective Date").
1. Engagement
1.1 E2 engages the Builder as an independent contractor to design and build video games, virtual worlds, levels, environments, and related interactive and creative works in any medium (each, a "Project"), including characters, stories, artwork, and other material E2 asks for. A Project can be set up formally or informally. A request (a "Brief") may be an Exhibit A attachment, a signed project brief, an email, a chat or direct message, a comment, a voice note, or a spoken ask later confirmed in a message. No particular form, title, length, or advance price is required for a Brief or a Project to count under this Agreement.
1.2 Nothing in this Agreement creates an employment, partnership, agency, or joint venture relationship. The Builder is responsible for his own taxes, filings, and compliance in his place of residence.
1.3 The Builder works on Projects he accepts. Accepting a brief, or beginning work on it, binds that Project to this Agreement.
1.4 Informal work and small jobs count. Work does not need to be a named Project to be covered. A single asset, a fix, a level, a short clip, a piece of art or code, help in a channel, or any other small or one off job is covered on the same terms as a large Project if any one of these is true: (a) E2 asked for it in any form; (b) the Builder made it for E2, or using E2 characters, worlds, names, or brands; (c) the Builder delivered it to E2 intending E2 to use it; or (d) E2 accepted, used, published, or paid or tipped the Builder for it. Beginning the work, delivering it, or accepting any payment or tip connected with it confirms that the work is under this Agreement. Work the Builder makes entirely on his own, that E2 did not ask for, that does not use E2 property, and that E2 has not accepted, used, or paid for, is not covered by this section and stays his under Section 4.
2. Payment
2.1 Where a Brief states a fee and a schedule, E2 will pay that fee on that schedule. Where work is informal and no fee was set in advance (the normal small job case), there is no preset price: the amount E2 in fact pays or tips for that work, and the Builder accepts, is the full price for it. E2 is never obligated to pay for work it did not request and has not accepted, and a tip is always voluntary. Payment, when E2 makes it, is due within 14 days of E2's acceptance of the deliverable unless the sides agree otherwise in a message.
2.2 Every payment under this Agreement, whether called a fee, a payment, a bonus, a tip, a reward, or a bounty, and however it is sent (including cash, bank or platform payment, Tippy, E2 Bucks, or cryptocurrency), and whether it is paid before, during, or after the work, and whether or not any amount was agreed in advance, is full and complete consideration for the work it relates to and for the assignment of rights in Section 3. Accepting a payment or tip for a piece of work confirms the Builder's agreement that the work is Work Product under Section 3. No royalties, residuals, revenue shares, or additional payments of any kind are owed for any Project unless a signed brief for that Project expressly says so.
2.3 If E2 cancels a Project after approving the first deliverable of a stage, E2 will pay a kill fee of 50% of that stage's fee. Work paid for under this section is E2's under Section 3.
3. Ownership: E2 owns the worlds
3.1 Work made for hire. All work product created by the Builder for E2 under this Agreement, including all informal and small job work described in Sections 1.1 and 1.4, however brief, however requested, and however paid (the "Work Product"), is a work made for hire for E2 to the fullest extent permitted by law, including 17 U.S.C. § 101, and E2 is deemed the author.
3.2 Assignment. To the extent any Work Product does not qualify as a work made for hire, the Builder irrevocably assigns to E2 all right, title, and interest in the Work Product, worldwide, in perpetuity, including all copyrights, trademark rights, design rights, patent rights, rights in trade dress, and all other intellectual property and proprietary rights, together with the right to sue for past infringement.
3.3 What Work Product includes. Games and playable builds; virtual worlds, levels, maps, and environments; the overall look and feel, art direction, visual style, and presentation; artwork, sprites, models, textures, animation, and user interfaces; code, tools, and documentation written for a Project; names, titles, logos, and terminology created for a Project; characters, stories, lore, dialogue, scripts, and screenplays created for E2; music, songs, and sound created for a Project; and all drafts, source files, and intermediate versions, in whatever form or medium they exist.
3.4 E2 property stays E2's. E2's and The Studio's pre-existing characters, names, worlds, artwork, music, and brands remain E2's alone. Anything the Builder develops using or extending them, including new stories, levels, art, or versions of those characters, is Work Product owned by E2.
3.5 Projects already built. The Projects listed in Exhibit A, including work delivered before the Effective Date that was created for E2 or using E2 characters or worlds, are covered by this Agreement, and the Builder confirms the assignment in this section applies to them.
3.6 Moral rights. To the extent permitted by law, the Builder waives moral rights and rights of attribution and integrity in the Work Product, and agrees not to assert them against E2 or its successors. E2 will nonetheless credit the Builder on public Project pages in the ordinary course, as it does today.
3.7 Further steps. The Builder will sign any short-form documents and take any reasonable steps needed to record or perfect E2's ownership, at E2's expense, during and after this Agreement.
3.8 Any medium, any future use. E2 may use, reproduce, copy, modify, adapt, remake, translate, and create derivative works from the Work Product, and may distribute, publish, perform, display, sell, license, and sublicense it, in any medium, format, or technology now known or later invented, including video games and interactive worlds, films, television and streaming video, online video, musicals and other stage productions, live performance, audio and music releases, books, comics, merchandise, advertising, and promotion. E2 does not need the Builder's further permission for any such use, and no additional payment is owed for it beyond the pay stated in the Project brief, unless a signed brief expressly says otherwise. E2 may also combine the Work Product with other work, change it, continue it with sequels, prequels, remakes, ports, and spin offs, or retire it, at E2's sole discretion.
3.9 Full license if assignment ever fails. If, in any place or for any reason, any part of the Work Product cannot legally be assigned to E2 under Section 3.2, the Builder instead grants E2 an exclusive, perpetual, irrevocable, worldwide, royalty free, fully paid up, transferable, and sublicensable license to that part, with the full scope of use described in Section 3.8. This license is a backstop only: the intent of this Agreement is full ownership by E2, and this section exists so that no technicality ever leaves E2 without complete rights to work it paid for.
4. The Builder's own pre-existing work
4.1 Tools, libraries, techniques, and material the Builder created entirely outside E2 Projects ("Builder Materials") remain the Builder's.
4.2 If Builder Materials are embedded in a deliverable, the Builder grants E2 a perpetual, worldwide, royalty-free license to use them as part of that deliverable and its sequels, updates, ports, and promotions, and to modify them for those purposes. The Builder will tell E2 before embedding Builder Materials that carry any restriction on use.
5. Originality and third-party materials
5.1 The Builder warrants that the Work Product is his original work, or that he holds every right needed to assign it under Section 3.
5.2 The Builder will not include third-party assets (including sprites, artwork, music, sound, fonts, code, or AI-generated assets) in any deliverable unless their licenses permit E2's full ownership and commercial use as contemplated here, and he will identify any such assets and their licenses on delivery.
5.3 The Builder will indemnify E2 against claims, damages, and costs arising from a breach of this section.
6. Portfolio and promotion
6.1 After a Project is public, the Builder may show it in his portfolio and link to E2's official pages, crediting E2 as owner. He may not distribute playable builds, source files, or assets themselves without E2's written permission.
6.2 The Builder will not use E2's characters, worlds, or names in his own commercial products, and will not present unofficial work as official E2 work.
7. Confidentiality
Unreleased Projects, plans, and materials are confidential until E2 makes them public. The Builder will not disclose or post them early, including in portfolios and social posts.
8. Term and ending the relationship
8.1 This Agreement continues until either side ends it in writing. Ending it stops future Projects only.
8.2 Sections 3, 4.2, 5, 6, and 7 survive forever for all Work Product created or paid for under this Agreement. E2 will pay for all accepted work delivered up to the end date.
9. Working it out
9.1 If a disagreement arises, the sides will first talk in good faith, then attempt mediation, before any lawsuit.
9.2 This Agreement is governed by the laws of the State of Colorado, USA. The Builder consents to the jurisdiction of the state and federal courts located in Colorado for any dispute that reaches court.
10. Signatures
10.1 Electronic signatures on this Agreement are valid and binding under the U.S. ESIGN Act, the Uniform Electronic Transactions Act, and equivalent laws where the Builder resides.
10.2 This Agreement, including its Exhibits, is the entire agreement between the sides about the Builder's work for E2, and replaces any earlier understandings on the same subject. Changes must be in writing and signed by both sides.
